Affiliate Program Agreement
Effective: October 16, 2026 · Version 2026-10-16b
This Affiliate Program Agreement (the "Agreement") is a binding contract between 1099 Tracks LLC ("1099Tracks," "we," "us," "our") and the person or entity enrolling in the 1099Tracks Affiliate Program (the "Program") ("Affiliate," "you," "your"). By checking the acceptance box on the application, verifying your mobile number, sharing a referral code, or accepting any payment under the Program, you agree to this Agreement in full. If you do not agree, do not participate.
1. Program overview & eligibility
The Program lets you earn a limited, time-bound revenue share by referring new paid subscribers who sign up using your unique referral code (your "Code"). To enroll you must be at least 18 years old, a U.S. resident, and able to complete payout onboarding (Section 4), and the mobile number you apply with must be on an active 1099Tracks Premium subscription at the time you enroll. Enrollment is automatic once you accept this Agreement and verify your U.S. mobile number; there is no application review step. Participation is a revocable privilege, not a right: we may decline, suspend, or remove any participant, and deactivate any Code, at any time and for any reason or no reason, with or without notice.
2. Commission & Code terms
- Structure. The Program's standard structure is a total commission of thirty percent (30%) of the list subscription price, divided — as you elect at enrollment or in your Affiliate dashboard — between (a) a price discount for the subscriber you refer and (b) your revenue share, so that discount + revenue share = 30%. Available splits are those shown at enrollment; we may add or retire splits prospectively.
- Basis. Your revenue share is calculated on the list price of the subscription for the applicable billing period (before any Code discount), excluding taxes, and before Apple's, Google's, or Stripe's platform commission. Refunded, charged-back, disputed, or adjusted amounts are excluded and may be clawed back.
- One-year term for every Code. Both halves of the commission run for twelve (12) months from each Qualifying Referral's subscription start: the referred subscriber's discount applies to the first year of a Premium Annual subscription only (on the web, the first annual invoice; in the App Store, the corresponding Apple offer — see Delivery), and your revenue share accrues on each paid subscription charge billed during those same twelve (12) months — the initial purchase and any renewals, monthly or annual, on the web, in the App Store, or on Google Play alike (for an annual subscriber, that is the one annual charge). After that period the subscriber pays list price and no further revenue share accrues on that subscriber. If the subscriber cancels, no revenue share accrues after their last paid charge. A Code itself does not expire on its own, but we may deactivate it at any time under Section 7.
- Delivery. The discount applies to the Premium Annual plan only, on every channel; a subscriber who chooses the monthly plan pays list price, and you earn your revenue share on that list price. Web discounts are delivered by Stripe at checkout. App Store discounts are delivered only through an Apple subscription offer; until an offer exists for a given split, App Store subscribers who enter your Code are attributed to you at list price and you earn your revenue share on that list price, but they receive no App Store discount. Google Play (the Android app) currently offers no Code discount: Google Play subscribers who enter your Code are attributed to you at list price and you earn your revenue share on that list price, but they receive no Google Play discount. We do not guarantee that any App Store or Google Play offer will be available at any particular time.
- Statistics. You receive aggregate statistics about your referrals (counts, conversion, revenue totals) — never referred users' names, contact details, transactions, or any other personal data.
- Changes. We may change commission rates, splits, Code terms, or Program terms prospectively with notice; changes do not reduce amounts already earned and undisputed as of the change.
- No other rights. This is a temporary revenue share only. It grants you no ownership, equity, license (except the limited trademark license in Section 6), or other rights in the App, the Service, any intellectual property, or the company (see Section 8).
3. Qualifying Referral & payment timing
A referral qualifies only if the user (a) enters your Code in the 1099Tracks app or web checkout, or is otherwise attributed to your Code by our systems, and (b) pays for a 1099Tracks Premium subscription (a "Qualifying Referral"). Attribution is determined solely by our records, which are final absent manifest error.
The following never earn a commission: (i) self-referrals — your Code used on your own account or on any account that uses your mobile number; (ii) a user who already has, or has ever had, a paid Premium subscription at the time your Code is entered; (iii) complimentary, promotional, or organization-sponsored access, or any other access for which no payment is made; and (iv) referrals generated by prohibited conduct (Section 5). We may also decline to credit any referral that we reasonably believe is fraudulent or abusive.
When commissions are paid. Your revenue share is earned on each paid charge from a Qualifying Referral as described in Section 2. The commission on each charge is held for thirty (30) days after that charge, or for a different hold period we set for your account, so that refunds and chargebacks can be accounted for; each charge's hold runs separately. Commissions whose hold has ended make up your payable balance, which we pay in our monthly payout batch, only via Stripe, subject to a minimum payout threshold of $10 (balances below $10 roll forward to the next payout and are not forfeited). If a charge is refunded or charged back (including a card dispute, or a refund or voided-purchase notice from Apple or Google), the commission on it is reversed, whether or not it has already been paid; if we win a card dispute, the amount reversed for it is added back. We may withhold, offset, or claw back payments for refunds, chargebacks, disputes, fraud, or breach of this Agreement, and may recover any overpayment from future payouts or by invoice.
4. Payout onboarding & taxes
Payouts are made only through Stripe Connect. You must complete Stripe onboarding, including identity verification and taxpayer information (e.g., IRS Form W-9), before any payout; amounts accrue but are not paid until onboarding is complete, and amounts unclaimed for twelve (12) months after they become payable may be forfeited to the extent permitted by law. You are an independent contractor. We (or Stripe on our behalf) will issue you a Form 1099-NEC or equivalent as required by law. You are solely responsible for all taxes on amounts received.
5. Your obligations
- Promote the Service truthfully. Do not make earnings, savings, tax, or refund claims we have not published, and never state or imply that the Service provides tax, legal, or financial advice or guarantees any tax outcome.
- Clearly and conspicuously disclose your material connection to 1099Tracks in every promotion, in compliance with the FTC's Endorsement Guides (e.g., "#ad" or "I earn a commission"), including in each individual social media post.
- Describe the discount accurately: as a percentage off the annual plan only, for the first year, never as permanent, never as applying to the monthly plan, never as an App Store discount unless an Apple offer for your split is live, and never as a Google Play discount.
- No spam: comply with CAN-SPAM for email; do not promote the Service by text message, robocalls, or autodialed calls.
- Do not bid on or register domains, handles, or search keywords containing our trademarks; do not run ads that impersonate us; do not use misleading claims; do not offer unauthorized rebates or incentives; do not engage in cookie-stuffing, code-farming, coupon-site distribution, or other fraudulent traffic generation.
- Keep non-public Program information (rates, dashboards, materials) confidential.
- You have no authority to bind 1099Tracks, to make representations on our behalf, or to act as our agent, and you will not hold yourself out as our employee, partner, or representative.
Referral statistics. Your Affiliate dashboard shows aggregate statistics about the referrals attributed to your Code — counts, conversion, revenue generated, cancellations, and your earnings. You do not receive names, contact details, or any other personal information about the people who use your Code.
6. Trademark license
We grant you a limited, revocable, non-exclusive, non-transferable license to use the 1099Tracks name and logo solely as provided in our Program materials and solely to promote the Service under this Agreement. All goodwill inures to us. The license ends automatically when this Agreement ends or when we ask you to stop.
7. Term; termination at will
This Agreement begins when you accept it and continues until terminated. Either party may terminate this Agreement at any time, for any reason or no reason, with or without cause, effective immediately on notice (for us, notice may be given by email, by text to your verified number, by a notice in your Affiliate dashboard, or by deactivating your Code). Nothing in this Agreement creates any expectation of continued participation, any minimum term, or any right to renewal.
Upon termination you must stop using our marks and cease all promotion; you stop earning new commissions; and we will pay already-earned, undisputed commissions for Qualifying Referrals on the normal schedule, subject to Section 3. We may terminate immediately and withhold all unpaid commissions in cases of fraud, material breach, misuse, or conduct that in our judgment harms the Service or its users. Sections 2 (as to amounts already earned), 3, 4, 8, 9, 10, 11 and 12 survive termination.
8. Independent contractor; no interest in or claim against 1099Tracks
You are an independent contractor. Nothing in this Agreement or in the Program creates, and you expressly disclaim, any employment, partnership, joint venture, franchise, agency, fiduciary, or similar relationship between you and 1099Tracks or its owner. You acquire no ownership, equity, membership, profits, revenue, royalty, security, or other interest of any kind in or to 1099 Tracks LLC, its owner, its business, the 1099Tracks application and service, its customers, subscriptions, data, goodwill, or intellectual property, or in the proceeds of any financing, transfer, or sale of any of them. Your sole entitlement under the Program is the revenue share on Qualifying Referrals described in Section 2, for the period described there, and you waive any claim to any other compensation, credit, attribution, or consideration. You are not entitled to any benefit we provide to employees, and you are responsible for your own expenses, tools, insurance, and taxes. We control only the result (compliant promotion under this Agreement), not the manner or means of your work.
9. Disclaimer; limitation of liability; indemnity
The Program, the Service, your Code, dashboards, and any Program materials are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied. We do not guarantee any level of referrals, earnings, uptime, or availability of any discount, offer, or platform. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER OR RELATING TO THIS AGREEMENT IS LIMITED TO THE UNDISPUTED COMMISSIONS ACTUALLY OWED TO YOU FOR THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES. You will defend, indemnify, and hold harmless 1099Tracks, its owner, and their affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising from your promotional activities, your breach of this Agreement, or your violation of law (including FTC, CAN-SPAM, and TCPA requirements).
10. Governing law & disputes
This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules. Any dispute is resolved by binding individual arbitration in Nashville, Tennessee (or remotely), consistent with the arbitration provisions in our Terms of Service, which are incorporated by reference. Class and representative actions are waived. Either party may seek injunctive relief in court for misuse of intellectual property or confidential information.
11. Assignment; notices; electronic acceptance
You may not assign or transfer this Agreement or any Code. We may assign this Agreement, in whole or in part, without your consent, including to a successor or to any entity that acquires the Service or the App, and the Program may be operated under a different developer or merchant account at any time without affecting this Agreement. Notices to you may be sent to the mobile number or email on your account. By enrolling, you agree to receive text messages from 1099Tracks at your verified mobile number: a one-time code when you apply and each time you sign in to your Affiliate dashboard, and messages about your affiliate account (for example, a reminder that a payout is waiting for you to finish payout setup). Message frequency varies; message and data rates may apply. Reply STOP to opt out or HELP for help; because sign-in codes arrive by text, opting out prevents you from signing in to your Affiliate dashboard until you text START. You agree that your electronic acceptance (checking the acceptance box and verifying your number) has the same effect as a handwritten signature, and that our records of that acceptance (version, time, and network address) are admissible evidence of it.
12. Entire agreement; severability
This Agreement, together with any Program rules or dashboard terms we publish and our Terms of Service, is the entire agreement regarding the Program and supersedes any prior discussion or understanding. We may update it prospectively with notice; continued participation after notice is acceptance. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
