Terms of Service

Last updated: October 16, 2026

PLEASE READ CAREFULLY. THESE TERMS CONTAIN A BINDING INDIVIDUAL ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 21) THAT AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT AS DESCRIBED THERE.

1099TRACKS IS NOT PROVIDING, AND THE SERVICE IS NOT AND SHALL NOT BE DEEMED TO BE, LEGAL, TAX, FINANCIAL, ACCOUNTING, OR INVESTMENT ADVICE. THE SERVICE IS AN ORGANIZATIONAL AND EDUCATIONAL SOFTWARE TOOL ONLY. YOU ALONE ARE RESPONSIBLE FOR REVIEWING AND VERIFYING THE ACCURACY OF EVERY TRANSACTION, CATEGORIZATION, MILEAGE RECORD, ESTIMATE, EXPORT, AND AI RESPONSE BEFORE ANY TAX USE. 1099TRACKS IS NOT YOUR AGENT, FIDUCIARY, TAX RETURN PREPARER, OR ADVISOR.

By creating an account, downloading the App, or using the Service, you agree to these Terms and the Privacy Policy.

1. Acceptance & license grant

The Service (the 1099Tracks iOS and Android applications, the 1099tracks.com website, and related services) is provided by 1099 Tracks LLC ("1099Tracks," "we," "us"). The Service is licensed, not sold. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to (a) install and use the App on Apple-branded or Android devices you own or control, and (b) access and use the 1099Tracks web app and website through a web browser, in each case for your personal use and the management of your own business finances.

Apple Inc. and Google LLC are not parties to these Terms. 1099Tracks, not Apple or Google, is solely responsible for the App and its content. Additional terms that apply when you get the App from Apple’s App Store, including Apple’s rights as a third-party beneficiary, are in Section 28.

2. Description of service

1099Tracks helps self-employed individuals organize business income, expenses, and mileage for tax purposes. Current features include:

  • Bank and card account connections through Plaid, with automatic transaction import;
  • AI-assisted categorization of transactions to specific U.S. tax form lines (e.g., Schedule C lines), which you must review;
  • Rules you create that categorize and verify matching transactions automatically (“vendor rules”) and classify and verify matching drives automatically (“saved routes”);
  • Automatic GPS mileage detection in the phone apps (requires background location permission) and manual trip entry, with review and classification by you or by saved routes you create;
  • Receipt photo capture and storage attached to transactions, and, in the iPhone app, reading a receipt’s text to fill in a new transaction;
  • Vehicle records, including maintenance schedules and history;
  • Support for multiple businesses, with per-business categorization, allocation, and reporting;
  • Quarterly estimated-tax summaries computed from your verified data, with the underlying assumptions displayed;
  • An AI chat assistant grounded in your own aggregated financial data, to which you can also attach a picture;
  • CSV import of transactions;
  • Exports, including a year-end Excel tax package, CSV files, and accounting-journal files (QuickBooks/Xero-compatible CSV);
  • Text messages and app notifications related to your account.

Features differ by subscription tier as described in the App, and we may add, change, limit, or discontinue features at any time. All outputs are for organizational and educational purposes only. You must review and confirm every item before relying on it for any tax filing, payment, or decision.

How items become verified. Each transaction and trip is either unverified or verified. The dashboard totals, estimated-tax figures, and tax exports count only verified items; transactions that look like transfers between accounts are set aside as transfers and are not counted. (An export of all your data lists every item with its status.) An item becomes verified when you approve it, and also, without a separate confirmation of that item, in each of these cases:

  • a vendor rule verifies new matching transactions (same merchant, same account, same direction of money) as they arrive;
  • when you create or change a vendor rule from a transaction (“Always categorize”), it also re-categorizes and verifies the existing matching transactions — including transactions you had already verified yourself, but not transactions marked as transfers or disputed;
  • when you confirm sample transactions during setup, the rules created also re-categorize and verify existing matching transactions, but not ones you verified yourself or ones marked as transfers or disputed;
  • a saved route verifies new detected drives that match it, and, when you save it, can verify your matching unverified drives;
  • a bulk action you take (for example, approving or re-categorizing several selected items at once) verifies every selected item;
  • a reply to a review text can verify an item (see Section 5);
  • transactions you import from a CSV file, and trips you enter by hand, are saved as verified.

Automatic verification does exactly what you set up, and that can be wrong — for example, a rule can verify a personal purchase at a merchant you usually use for business. AI suggestions on their own never verify a transaction. You remain responsible for every verified item, however it was verified; you can edit any item, and delete any rule or saved route, at any time.

Platform differences. The Service is offered as an iPhone app, an Android app, and a web app, and they do not all have the same features. Automatic drive detection works only in the iPhone and Android apps; the web app can show and edit trips but cannot detect drives. On Android, the device maker’s battery-saving features and Android’s background limits can delay or prevent drive detection. Reading a receipt’s text to fill in a new transaction is available only in the iPhone app; the Android app can attach a receipt photo but does not read its text. Add-ons are sold only in the iPhone and Android apps, and affiliate code discounts are not available on every store (see Section 6). Features may reach one platform before another.

3. Eligibility

You must be at least 18 years old, a U.S. resident who files U.S. taxes, and able to form a binding contract. You may not use the Service if previously suspended or barred, or where prohibited by U.S. law. You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You may not use, export, or re-export the App or the Service in violation of U.S. export-control or sanctions laws.

4. Accounts, sign-in & Authorized Phones

You sign in with your mobile phone number, verified by a one-time SMS code. You are responsible for maintaining control of your phone number and the devices signed in to your account, and for all activity under your account.

You may designate additional phone numbers ("Authorized Phones"), for example a spouse or bookkeeper. EVERY AUTHORIZED PHONE HAS FULL ACCESS TO YOUR ACCOUNT, including your financial transactions, receipts, mileage and location history, exports, and settings, and can add, modify, and delete data. You are solely responsible for whom you authorize and for all actions they take. By adding an Authorized Phone, you represent that you have that person's permission to give them this access and to have verification and service text messages sent to their number. Sign-in codes are sent to the number attempting to sign in. You can remove Authorized Phones at any time in Settings.

5. Text messages (SMS)

Program. 1099Tracks sends account-related text messages: one-time sign-in and verification codes, service or account notifications, and, if we offer them to you, texts asking you to review a transaction or a detected drive (“review texts”). This is a transactional program. We do not send marketing or promotional text messages.

Consent. By providing a mobile phone number — your own, or an Authorized Phone you add and are permitted to add — you consent to receive these text messages at that number. Consent to receive verification texts is a condition of using phone-based sign-in, because it is how we authenticate you. It is not a condition of any purchase.

Replies to review texts change your records. Each review text includes a reference code (for example, “Ref T-AB12”) and numbered choices. When you reply from the number the text was sent to, we update your account as follows:

  • Transaction: 1 marks it Personal and 2 marks it Business, and either reply verifies it; 3 leaves it unchanged for you to review in the App. A reply saying the charge is not yours (for example, “not me” or “fraud”) marks it disputed. Most other text you send is saved as the transaction’s note and does not verify it.
  • Drive: 1 marks it Personal, 2 marks it Business, and 3 marks it Not a drive; each of these verifies it. A drive marked Not a drive is kept in your account but is not counted in your mileage totals, and you can change it in the App.
  • Reference codes. Include the reference code in your reply. If you reply without one, we apply your reply only if exactly one review text sent to your number in the previous 24 hours is still unanswered; otherwise — or if the code is one we don’t recognize — nothing changes, and we text you back asking you to include the code or use the App.
  • Keywords such as STOP, HELP, and START never change your records.

You can change any item afterwards in the App. Because a reply changes your records, keep control of your phone (Section 4).

Frequency and cost. Message frequency varies with your use of the Service. Message and data rates may apply.

Opting out and help. Reply STOP to any message to stop receiving texts; reply HELP for help. You may also contact help@1099tracks.com. If you stop verification texts you will not be able to sign in until you text START to the same number.

Carriers. Mobile carriers are not liable for delayed or undelivered messages.

MOBILE INFORMATION. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All other categories of data sharing described in our Privacy Policy exclude text-messaging originator opt-in data and consent; this information will not be shared with any third parties.

6. Subscriptions, free tier, promotional access & billing

We offer a free tier and a paid subscription ("1099Tracks Premium"). Current free-tier limits (for example: number of connected accounts, length of imported transaction history, manual-only mileage, and AI chat message limits) are described in the App and may change.

Paid subscriptions are auto-renewing, currently offered monthly and annually, and can be purchased in the iPhone app through Apple's App Store, in the Android app through Google Play, or on our website by card. The terms for each channel follow; a subscription is managed and cancelled through the channel it was purchased in.

In the iPhone app, paid subscriptions are purchased through Apple's App Store as auto-renewing subscriptions at the prices shown in the App. Subscriptions renew automatically at the then-current price for the same term unless cancelled at least 24 hours before the end of the current period. Payment is charged to your Apple ID at confirmation of purchase and again at each renewal. Payment, renewal, cancellation, and refunds are governed by Apple's terms and handled entirely by Apple; manage or cancel in your Apple ID settings. We cannot issue refunds outside Apple's process. Price and plan changes are covered under “Changes to prices, plans, and features” below.

In the Android app, paid subscriptions and add-ons are purchased through Google Play on the same auto-renewing terms. Payment is charged to your Google account at confirmation of purchase and again at each renewal. Payment, renewal, cancellation, and refunds are governed by Google Play’s terms and handled by Google; manage or cancel in the Play Store app under Payments & subscriptions → Subscriptions. We cannot issue refunds outside Google’s process. Google is not a party to these Terms.

On our website, paid subscriptions are purchased by card through our payment processor, Stripe, at the prices shown at checkout, on the same auto-renewing terms: your card is charged at purchase and again at each renewal at the then-current price for the same term unless you cancel before the end of the current period. Manage or cancel from your account page on the website (Manage billing); cancellation takes effect at the end of the period you have paid for. Except where the law requires otherwise, website payments are non-refundable: cancelling stops future renewals, and we do not refund or credit any partial subscription period or unused features. Stripe processes card payments; we do not receive or store your full card number.

Add-ons. Premium subscribers can buy add-ons in the iPhone or Android app, such as extra connected bank accounts or extra authorized phone lines (monthly auto-renewing subscriptions on the same terms as above) and AI chat packs (one-time purchases of additional chat messages that do not expire and do not renew). Add-ons are bought with an active Premium subscription. If Premium ends, extra bank and phone-line slots stop applying until you resubscribe; unused chat-pack messages remain usable. Chat-pack messages are used only after your daily and weekly allowance runs out and are not refundable except through the store’s own refund process.

Changes to prices, plans, and features. We may change our prices, the plans and add-ons we offer (including adding, combining, renaming, or discontinuing a plan, package, or add-on), and the features or limits included in any tier. New prices apply to new purchases when they are shown. For an existing auto-renewing subscription, we will give at least 30 days’ notice before a price increase, and it takes effect at your next renewal after that notice; if you do not want to pay the new price, cancel before that renewal. Where Apple or Google requires your consent to a price increase, the subscription will not renew at the new price without it. If we discontinue a plan you are subscribed to, you keep it through the period you have paid for. Prices may vary by country and store, may be shown in your local currency, and may not include applicable taxes, which the store or Stripe may add at checkout.

Sales, discounts, and codes. We may offer limited-time sales, introductory prices, discounts, offer codes, or affiliate referral codes. Each offer applies only on the terms shown with it, including which plan, store, and period it covers, and we may end an offer at any time without affecting a discount already applied to your purchase. Affiliate referral discounts apply to the first year of Premium Annual only and are not available on every store; monthly plans are charged at the regular price. Unless stated otherwise, offers cannot be combined, have no cash value, cannot be transferred, and cannot be applied to a past purchase. A later sale or price drop does not entitle you to a refund or credit for a purchase made at an earlier price.

Promotional and complimentary access. We may grant complimentary or promotional access to paid features — for example to beta testers, evaluators, or as part of a promotion. Complimentary access is a revocable license, not a purchase: it is granted at our discretion, is personal to your account, is not transferable, has no cash value, and is not refundable. It is not billed through Apple, Google Play, or our website and is not an auto-renewing subscription. We may modify or end complimentary access, except where we have stated a specific duration, in which case we will honor it. If complimentary access ends, your account reverts to the free tier and your data is unaffected.

When a paid plan ends. If your subscription ends for any reason (cancellation, a failed renewal, or the end of complimentary or sponsored access — see Section 27), your account reverts to the free tier and its limits apply, including the limit on connected bank accounts. Bank connections beyond the free-tier limit are paused immediately: we stop retrieving new transactions from them, and nothing already imported is deleted. If you do not resubscribe within 14 days, we disconnect the paused connections from Plaid so that no further data is retrieved. Your existing transactions remain in your account, and you can choose which connection stays active during the pause. Reconnecting a disconnected bank after you resubscribe restores it without duplicating the transactions you already have.

7. Bank data & Plaid

Bank and card connectivity is provided by Plaid Inc. By linking an account, you grant 1099Tracks and Plaid the right to access and transmit your financial account data (such as balances, transactions, and merchant information) from your financial institution, and you agree that your data will be transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy. We never receive or store your bank login credentials. You may only link accounts you are legally authorized to access.

8. Location data & mileage tracking

Automatic mileage detection requires you to enable tracking in the App and grant background location permission (iOS "Always"; on Android, "Allow all the time" plus Physical activity). GPS-based trip detection is inherently imperfect: trips may be missed, split, merged, or measured inaccurately, and reverse-geocoded labels may be wrong. YOU MUST REVIEW AND CONFIRM EVERY TRIP, INCLUDING ITS DISTANCE AND BUSINESS CLASSIFICATION, BEFORE ANY TAX USE — including trips verified by a saved route or a text reply (Section 2). You can suspend capture at any time by toggling tracking off or revoking the location permission. You may not use the Service to track any vehicle, device, or person other than yourself without that person's consent.

Driving safety. Do not use the App while you are driving. Drive detection runs without your touching the phone; do not read or reply to texts from us, review trips, or otherwise interact with the App while your vehicle is moving. Review and classify trips only when you are safely parked or are not the driver, and always obey traffic laws and the rules of the road. You are solely responsible for operating your vehicle safely, and we are not responsible for any accident, injury, or traffic violation that results from using a phone while driving.

9. User content

"User Content" means content you submit to the Service: receipt images, notes, imported CSV files, vehicle and maintenance records, business names and details, and similar material. You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and display User Content solely to operate, provide, secure, and improve the Service for you.

10. AI features

Transaction categorization suggestions and the chat assistant are generated in part by large language models provided by a third-party AI provider. AI outputs may be incorrect, incomplete, or outdated, and are not tax, legal, financial, or accounting advice. The App shows how each transaction was categorized (your rule, a match to a transaction you verified earlier, or an AI suggestion) and records AI categorization decisions so you can see why a suggestion was made. An AI suggestion waits for you to approve it and is never verified on its own; rules and the other features described in Section 2 can verify items without a separate confirmation. Do not rely on any AI output without verifying it.

Improving categorization. We use categorization decisions — the merchant, amount, date and account type of a transaction, the category the App suggested, and the category you chose — to train our own categorization model, so suggestions get better and rely less on outside AI providers. These records are pseudonymized before they leave our production database, are never sold or shared with third parties, and are deleted with your account. You may turn this off at any time in Settings → Improving categorization; turning it off stops future contributions. A model that has already been trained is not re-trained to remove individual records. Details are in our Privacy Policy.

11. Estimates, tax content & exports

Quarterly estimated-tax figures and other tax-related outputs are educational estimates computed from the data you have verified, using the assumptions displayed in the App. They are not a substitute for advice from a qualified tax professional and do not guarantee any tax outcome. Exports reflect your data as of the export and must be reviewed by you or your tax professional before filing.

12. Tax filing feature (if and when offered)

We do not currently prepare or file tax returns. If an optional filing feature is offered in the future, it will be powered by a third-party filing partner under separate terms and consents presented at that time.

13. Acceptable use

You agree not to: (a) use the Service for fraud, tax evasion, money laundering, or any unlawful purpose; (b) link financial accounts you are not authorized to access; (c) track any person or vehicle without consent; (d) reverse engineer, decompile, or attempt to extract source code, models, or prompts; (e) scrape, harvest, or access the Service by automated means or circumvent rate limits or tier restrictions; (f) probe, disrupt, or breach the security of the Service; (g) resell, sublicense, or provide the Service to third parties; or (h) upload malicious code or unlawful content.

14. Feedback

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

15. Intellectual property

The Service, including its software, design, tax-line mappings, prompts, and trademarks (including "1099Tracks"), is owned by us or our licensors and protected by law. No rights are granted except as expressly stated in these Terms.

16. Third-party services

The Service depends on third-party services, including Plaid (bank data), Apple (distribution and billing), Google (Android distribution and billing), Stripe (website payments, organization billing, and affiliate payouts), Twilio (SMS), our AI provider, our error-monitoring provider, and our cloud hosting and object-storage providers. We are not responsible for third-party services, their availability, or their acts or omissions.

17. Termination; account deletion

You may stop using the Service at any time. You may delete your account in the App (Settings → Delete Account). ACCOUNT DELETION IS IMMEDIATE, PERMANENT, AND IRREVERSIBLE: all of your data — including transactions, receipts, mileage history, and settings — is deleted from our production systems at once and cannot be recovered by you or by us. Residual copies may remain in our encrypted backups until they age out of the ordinary backup rotation; backups are not used to restore individual deleted accounts. A small set of records is kept after deletion for the reasons described in our Privacy Policy (for example, payment and commission records, and a sponsoring organization’s own roster entry). As part of deletion we also request that Plaid revoke the connection to each linked financial institution. Export any data you want to keep before deleting your account; you are responsible for retaining records required by tax authorities (the IRS generally recommends keeping tax records at least 3–7 years).

Subscriptions. If you subscribed through this website, deleting your account cancels that subscription immediately; the unused remainder of a period you have already paid for is not refunded. If you subscribed through Apple, deleting your account does NOT cancel that subscription. Apple bills it and only you can cancel it, on your iPhone under Settings → your name → Subscriptions; cancel it there before or after deleting your account, or Apple will keep charging you. The same applies to Google Play: cancel in the Play Store app under Payments & subscriptions → Subscriptions, or Google will keep charging you. If your access is paid for by an organization, deleting your account ends that seat (Section 27).

18. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1099TRACKS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, INCLUDING ANY TAX LIABILITIES, PENALTIES, INTEREST, AUDIT COSTS, OR MISSED DEDUCTIONS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, WHETHER PAID TO US DIRECTLY OR THROUGH APPLE OR GOOGLE PLAY, OR (B) ONE HUNDRED DOLLARS (US $100).

20. Indemnification

You agree to indemnify and hold harmless 1099Tracks from claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, any tax position or filing based on Service outputs, your grant of access to Authorized Phones, your violation of law, or your breach of these Terms.

21. Dispute resolution — arbitration & class waiver

Before filing any claim, you and we agree to first try to resolve the dispute informally: send a written notice describing the dispute to help@1099tracks.com (or we will notify you), and the parties will attempt in good faith to resolve it within 60 days. If unresolved, any dispute arising out of these Terms or the Service will be resolved by BINDING INDIVIDUAL ARBITRATION administered by the American Arbitration Association under its Consumer Arbitration Rules, in Nashville, Tennessee or remotely by videoconference, at your election. CLASS ACTIONS AND CLASS ARBITRATIONS ARE WAIVED. Exceptions: either party may bring an individual claim in small-claims court, or seek injunctive relief in court for intellectual-property infringement or misuse of the Service. You may opt out of arbitration within 30 days of first accepting these Terms by sending an email to help@1099tracks.com that states your name, the mobile phone number you use to sign in to your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

22. Governing law

Tennessee law governs these Terms, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 21.

23. Changes to the Terms or Service

We may update these Terms or the Service. For material changes to the Terms we will provide notice in the App or by text/email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

24. Miscellaneous

These Terms, the Privacy Policy, the in-app disclosures you approve, and, if you participate in our Affiliate Program, the Affiliate Program Agreement, are the entire agreement between you and us regarding the Service. If an in-app disclosure conflicts with these Terms, these Terms control; the Affiliate Program Agreement controls on matters concerning the Affiliate Program. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms; we may assign them (including in connection with the transfer of the Service, the App Store listing, or vendor accounts to or between affiliated entities, or a merger or sale) without your consent. Notices to you may be given in the App, by SMS, or by email; notices to us go to help@1099tracks.com, or to our mailing address, which we will provide on request to that same address. There are no third-party beneficiaries except Apple and its subsidiaries as stated in Section 28.

26. Pre-release and beta versions

From time to time we make pre-release versions of the App available for testing, including through Apple's TestFlight program and Google Play's internal, closed, and open testing tracks ("Beta Versions"). If you participate:

  • Beta Versions are provided for evaluation and are not final. They may contain errors, may behave unpredictably, and may be less reliable than released versions.
  • Beta Versions are provided "AS IS" with no warranty and no service-level commitment. Sections 18 and 19 apply in full.
  • Data created in a Beta Version may be lost, reset, or become inaccessible as we develop the Service. Do not rely on a Beta Version as your only record of any tax-relevant information. Export anything you need to keep.
  • You may be asked for feedback. Section 14 applies: we may use it freely and without obligation to you.
  • Information about unreleased features is confidential until we make it public.
  • We may end your access to a Beta Version, or the beta program, at any time.
  • Your participation is also subject to Apple's TestFlight terms or Google Play's terms for testing programs, as applicable.

Complimentary access granted to beta participants is governed by Section 6.

27. Organizations that sponsor access

Some organizations, such as an association or an employer, pay for 1099Tracks Premium for their members (each, a “Sponsor”).

How sponsored access works. A Sponsor gives us a roster of its members: a member number for each, and optionally a mobile phone number, email address, and name. If you sign in with a mobile number that is on an active Sponsor’s roster, or enter the Sponsor’s join code and your member number on our website, your account is linked to that Sponsor and has Premium while your seat is active. You are not charged for a sponsored seat.

What a Sponsor can see. A Sponsor’s administrators can see their own roster: for each entry, the member number, name, and email address the Sponsor gave us; the last four digits of the phone number on file; whether the entry has been linked to a 1099Tracks account; whether the seat is being billed; and the dates the entry was added, activated, or deactivated. A Sponsor cannot see your transactions, bank accounts, receipts, trips or location, notes, chat, exports, or anything else in your account, and cannot sign in to your account.

When sponsored access ends. A Sponsor may remove you from its roster at any time, and a Sponsor’s arrangement with us may end. If a Sponsor ends its arrangement with us, seats already paid for continue to the end of the year paid for and no new members are added. If a Sponsor does not pay, we may end its members’ sponsored access immediately. Deleting your account ends your seat. When sponsored access ends, “When a paid plan ends” in Section 6 applies, and you may subscribe yourself.

Terms for Sponsors. If you set up or administer a Sponsor account, you agree to these Terms on the Sponsor’s behalf and represent that you are authorized to do so. The Sponsor represents that it has the right to give us each roster entry, including any member’s contact details, for us to use to identify and link its members. Sponsor administrators are designated by mobile number and sign in with a one-time text code. Seats are billed to the Sponsor through Stripe by invoice, annually in advance for each active seat, at the price agreed with the Sponsor; each seat’s year begins when that member’s seat activates, and payment is due within 30 days of the invoice. When a seat ends before its year is over (because the Sponsor removes the member or the member deletes their account), the unused part of that seat’s year is credited to the Sponsor’s account balance and applied to later invoices; any cash refund is at our discretion. Sections 18 through 22 apply to the Sponsor as they apply to you.

28. Additional terms for the App from Apple’s App Store

If you obtained the App from Apple’s App Store, the following terms also apply, and they control if they conflict with anything else in these Terms:

  • Acknowledgement. These Terms are between you and 1099 Tracks LLC only, not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the App and its content.
  • Scope of license. Your license to the App is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing, where available.
  • Maintenance and support. We are solely responsible for any maintenance and support of the App, as described in these Terms or as required by law. Apple has no obligation to furnish any maintenance or support for the App. Contact us at help@1099tracks.com.
  • Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed (see Section 18). If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, of the App to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are our responsibility, to the extent not disclaimed or limited by these Terms.
  • Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the App or your possession or use of it, including (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. Nothing in these Terms limits our liability to you beyond what applicable law permits.
  • Intellectual property claims. If a third party claims that the App or your possession and use of it infringes that third party’s intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of that claim.
  • Legal compliance. You make the representations about embargoed countries and restricted-party lists in Section 3.
  • Developer contact. Questions, complaints, or claims about the App go to 1099 Tracks LLC, Nashville, Tennessee, United States, at help@1099tracks.com. Our full mailing address is available on request at that email address.
  • Third-party terms. You must comply with any third-party terms that apply when you use the App, such as your wireless carrier’s data-service terms.
  • Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
